Terms of Use for Silk Painters International (SPIN)
Welcome to Silk Painters International ("SPIN," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the SPIN website, including silkpainters.org, any member-only areas, event and festival pages, galleries, forms, directories, and related online services (collectively, the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Who We Are
SPIN is a nonprofit organization dedicated to supporting silk artists, educators, and practitioners through membership, publications, festivals, exhibitions, tutorials, and related community activities.
2. Eligibility
You may use the Site only if you can form a binding agreement and will comply with these Terms and all applicable laws. If you create an account or join as a member, you represent that the information you provide is accurate and complete.
If you use the Site on behalf of an organization, chapter, or other entity, you represent that you have authority to bind that entity to these Terms.
3. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the "Last Updated" date. Your continued use of the Site after changes are posted means you accept the revised Terms.
4. Your Account
Certain features of the Site may require an account, including member-only areas, directories, festival registration, or other services. You are responsible for:
- maintaining the confidentiality of your username and password,
- restricting access to your account,
- ensuring your account information remains current, and
- promptly notifying SPIN of any unauthorized use of your account.
You are responsible for all activity that occurs under your account.
5. Acceptable Use
You agree not to:
- use the Site in any unlawful, harmful, fraudulent, or misleading way,
- interfere with or disrupt the Site or its security,
- attempt to gain unauthorized access to any account, server, or data,
- scrape, harvest, or copy member data, directory information, or other Site content for commercial or unauthorized purposes,
- upload viruses, malware, or malicious code,
- post or submit content that is defamatory, infringing, abusive, obscene, or otherwise objectionable,
- impersonate another person or misrepresent your affiliation with SPIN or any chapter.
SPIN may suspend or terminate access to the Site for conduct that violates these Terms or harms SPIN, its members, or the public.
6. Membership, Registrations, Donations, and Payments
The Site may offer paid memberships, renewals, festival or event registrations, tutorials, donations, or other paid opportunities. Public pages currently show memberships, donations, and festival registration information.
By making a payment through the Site, you agree to provide current, complete, and accurate payment and contact information.
Unless otherwise stated for a particular product, event, or offering:
- fees are quoted in U.S. dollars,
- payments are non-refundable once processed, except where required by law or where SPIN expressly states otherwise,
- SPIN may change pricing or offerings at any time before you complete a transaction.
If SPIN publishes separate event, festival, exhibition, or membership rules, those additional rules are incorporated into these Terms.
7. User Content and Submissions
The Site may allow you to submit or post content, including artwork, artist information, gallery content, directory information, chapter information, comments, event submissions, photographs, and other materials ("User Content").
You retain ownership of your User Content. However, by submitting User Content to SPIN, you grant SPIN a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify for formatting, publish, display, distribute, and use that User Content in connection with:
- operating the Site,
- administering memberships, exhibitions, festivals, and educational programming,
- publishing directories, galleries, event materials, and related communications,
- promoting SPIN and its nonprofit mission.
This license applies only to content you choose to submit and is subject to any privacy or visibility settings SPIN offers, including directory visibility preferences where applicable. The membership join page currently states that submitted membership information may be part of the SPIN member-only directory unless a member selects privacy options.
You represent that:
- you own or control all necessary rights to your User Content,
- your User Content does not infringe any third-party rights,
- any people identifiable in submitted photos or content have given any permissions required by law.
SPIN may remove or decline User Content at its discretion.
8. Member Directory and Community Information
Certain membership information may appear in member-only directories, chapter listings, galleries, or related community features. You agree not to use SPIN member information for spam, mass solicitation, resale, data harvesting, or any purpose unrelated to legitimate SPIN community activity.
SPIN may provide privacy controls for directory visibility, but no internet-based system is completely secure. Members should use care when sharing personal information online.
9. Intellectual Property
The Site, including its text, design, logos, graphics, publications, organization materials, and other content provided by SPIN, is owned by or licensed to SPIN and is protected by applicable intellectual property laws.
Except as expressly allowed in writing, you may not copy, reproduce, republish, distribute, modify, create derivative works from, or exploit Site content for commercial purposes.
SPIN names, logos, and branding may not be used without prior written permission.
10. Copyright Complaints
If you believe content on the Site infringes your copyright or other intellectual property rights, please contact SPIN with:
- your name and contact information,
- a description of the work claimed to be infringed,
- the location of the allegedly infringing material,
- a statement of your good-faith belief that the use is unauthorized,
- a statement that your notice is accurate and that you are authorized to act.
SPIN may remove allegedly infringing material while a complaint is reviewed.
11. Third-Party Services and Links
The Site may include links to third-party websites, services, social platforms, video providers, event tools, payment processors, or other external resources. SPIN is not responsible for the availability, content, policies, or practices of third-party sites or services.
Your use of third-party services is governed by those third parties' own terms and policies.
12. No Professional Advice
Content on the Site is provided for general informational, educational, artistic, and community purposes only. It is not legal, tax, financial, medical, or other professional advice.
13. Disclaimer of Warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, SPIN disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
SPIN does not guarantee that the Site will always be secure, available, accurate, or free from bugs or harmful components.
14. Limitation of Liability
To the fullest extent permitted by law, SPIN and its directors, officers, volunteers, members, committee members, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or business interruption, arising out of or related to your use of the Site.
To the fullest extent permitted by law, SPIN's total liability for any claim relating to the Site will not exceed the amount you paid to SPIN, if any, for the specific service giving rise to the claim during the twelve months before the claim arose.
15. Indemnification
You agree to defend, indemnify, and hold harmless SPIN and its directors, officers, volunteers, agents, and affiliates from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Site,
- your User Content,
- your violation of these Terms,
- your violation of any law or third-party rights.
16. Termination
SPIN may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or if your use presents risk to SPIN or others.
Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute-related provisions.
17. Governing Law
These Terms will be governed by the laws applicable in the jurisdiction where SPIN is organized and operates, without regard to conflict of law rules, unless otherwise required by applicable law.
